1. Order and drafting of quote
1.1 All prices in our quotations are without VAT (Dutch tax 19%) and travel expenses (€ 0.32/km), unless specified differently.
1.2 DigiRedo will not undertake the work corresponding to the order until it has received a written confirmation of the quote by the Client.
1.3 The quotes are valid for three months as from the date of drafting. After this time quotes can be revised in function of any price variations in third party applications, labour costs, etcetera. In all cases, the amounts mentioned on the quote are for information purposes only; the definite price corresponding to the order is liable to vary by plus or minus 10% of the estimated amount on the quote. DigiRedo will always inform the Clients once the 10% will have to be used.
1.4 If during the project the projection of the costs exceeds the variation of 10% a new quote will be drafted.
1.5 Prices of third party products or services are conditionally and may vary during the project. DigiRedo will use the price of the service or service at the moment the service or product is required in the project.
1.6 Delivery times and quotations are given in good faith and are based on mutual collaboration, good communication and a sound briefing process with the Client. If during the process it turns out that the outcome of the work differs significantly from the original brief (and hence quotation) a new quotation will have to be established. In all cases DigiRedo will inform the Client prior to this.
2. Invoicing and payment
2.1 Unless specially agreed otherwise with the Client, the invoices issued by DigiRedo are payable within 30 (thirty) days of the date of invoice.
2.2 Any sum not paid at the due date shall automatically and without prior notification give rise to the payment of interest at the rate of one and a half times the legal interest rate applicable at the day on which the payment should have been made. All recovery costs being at the charge of the Client.
2.3 Each phase of the work established by the quote may give rise to separate invoicing. Also for long-term projects DigiRedo reserves the right to issue an invoice after each milestone is achieved. These milestones are determined together with the Client prior to the start of a project.
2.4 Travel expenses incurred by DigiRedo other than milage by car will be reimbursed upon presentation of written proof by DigiRedo to the Client.
3. Confidentiality
3.1 DigiRedo shall ensure that all measures necessary are taken to secure the confidentiality of the Client's project information.
3.2 DigiRedo shall not communicate, disclose or make available all or any part of Client’s project information to any third party, shall not directly or indirectly use, or permit others to use any project information other than for the project and not make any announcement or disclosure in connection with the project without the prior written consent of the Client.
4. Intellectual Property
4.1 All worldwide rights of creative work used in it’s final form in the project will be transfered to the Client. This excludes any software platforms used to distribute the content of the project, unless specified differently.
4.2 DigiRedo will retain the property and the rights of the work delivered until the Client has paid the corresponding invoice in full.
4.3 DigiRedo reserves the right to use (video) content obtained during the project, which is not used in the final product for other projects if this content does not conflict with Article 3.
4.4 DigiRedo will remain the exclusive owner of all intermediate production files, such as animation-, audio-, video- and musicfiles, that have been produced during the Project, with the exclusion of the final product. DigiRedo will not use these files for other purposes if in conflict with Article 3.
4.4 The Client will obtain all full resolution files after closure of the project.
5. Disputes
5.1 In the event of a dispute or litigation, and the absence of an amicable settlement, the case shall be referred to a Dutch court and dealt under Dutch law.
